Terms of Sale

These Terms of Sale govern buying the LMSable Pro plan. They add to our Terms of Use and Privacy Policy, which keep applying to your use of LMSable. If these Terms of Sale conflict with the Terms of Use on a payment matter, these Terms of Sale apply.

1. Seller and scope

LMSable is provided by eTechnologie Sp. z o.o., ul. Cyfrowa 6, 71-441 Szczecin, Poland, registered in the National Court Register under KRS 0000426059, NIP (tax ID) PL8513164366, REGON 321247410 ("we", "us"). Contact: [email protected].

Who you buy from. When you buy Pro on lmsable.com, the purchase is sold through Link (Sold through Link, LLC), the Stripe merchant of record service. Link takes the payment, calculates and pays the tax, sends receipts and invoices, and handles payment support. Link's Sold Through Link Terms govern those points; where they conflict with these Terms of Sale on them, Link's terms apply.

We provide Pro itself, support it and remain responsible for how it works, whoever processed the payment.

Companies in Poland that need a Polish VAT invoice in PLN can instead buy Pro directly from us through the order form. Such a purchase is paid against our VAT invoice, and these Terms of Sale apply to it, except the provisions about Link.

You can buy a paid plan if you are at least 18 years old and can enter into a binding contract, or if you act for a business or organisation that authorised you to do so.

2. Definitions

  • Account: your LMSable account, identified by your e-mail address.
  • Free plan: the plan every Account has at no charge, with the limits shown on the Pricing page.
  • Pro plan or Pro: the paid plan with the features and limits shown on the Pricing page and the Pro features page at the time of purchase.
  • Subscription: your purchase of Pro for a Billing period (one month or one year) that renews automatically until cancelled.
  • Billing period: the month or year you have paid for, starting on the day of payment.
  • Consumer: a natural person buying for purposes outside their trade, business, craft or profession. Under Polish law, a sole trader buying Pro for a purpose that is not professional for them is treated like a Consumer for sections 7, 13 and 14.
  • Business customer: anyone buying who is not a Consumer.
  • Link: Sold through Link, LLC, which sells Pro to you on lmsable.com as merchant of record, together with the Stripe group companies that process its payments.

3. Plans, prices, currencies and taxes

Pro costs the amounts below. Prices exclude VAT and other sales taxes, which are added at checkout where they apply.

  • You choose USD or EUR on the Pricing page. The two currencies are separate price lists, not a conversion, so the amounts differ.
  • Link calculates, collects and pays the sales tax, VAT or GST due in your country. Its checkout may show the price converted into your local currency.
  • Checkout shows the total, including tax, before you pay. That total is the price of the contract.
  • Pro is sold in the countries where Link's merchant of record service is available. Direct purchases from us (companies in Poland) carry Polish VAT.
  • The Free plan stays free.

4. Ordering and payment

  1. Sign in to your Account, choose monthly or annual billing and a currency on the Pricing page, and select the Pro button.
  2. You are taken to a Link checkout page. You enter your payment details there; we never see or store your full card number.
  3. The contract is concluded when the payment is confirmed. You receive a receipt by e-mail and Pro is switched on in your Account, usually within a minute.
  4. You pay for each Billing period in advance. Your saved payment method is charged on the first day of each new Billing period until you cancel.
  5. If a renewal payment fails, it is retried over the following days and you are told by e-mail. Pro stays active meanwhile. If the payment still fails, the Subscription ends and your Account returns to the Free plan (section 11).

Receipts and invoices come from Link. Your card statement shows LINK.COM* followed by our name. You can manage the Subscription, payment method and billing address in your account at link.com and through the billing link in your LMSable Account.

5. Founding offer

The first 100 members who buy the annual Pro plan pay USD 199 or EUR 175 (plus tax) for their first year instead of USD 348 or EUR 300.

  • The offer applies only to the first annual Billing period. From the second year the Subscription renews at the regular annual price in force at that time (section 12).
  • It is not available on monthly billing and cannot be combined with other discounts or promotional codes.
  • One founding purchase per Account and per organisation.
  • The 100 places are counted across both currencies. The Pricing page shows how many are left. When they are gone, the offer ends without further notice.
  • Cancelling during the first year does not bring back the founding price for a later purchase.

6. Renewal, cancellation and plan changes

A Subscription renews automatically for another Billing period of the same length until you cancel it.

  • Cancel at any time at link.com or through the billing link in your Account. Cancellation takes effect at the end of the current Billing period; Pro stays active until then and you are not charged again.
  • Annual reminder: annual subscribers receive an e-mail before each renewal, with the amount and a link to manage or cancel the Subscription.
  • Monthly to annual: where the billing tools offer it, the switch takes effect immediately and the unused part of the monthly period is credited against the annual price.
  • Annual to monthly: takes effect at the end of the paid year.
  • Currency cannot be changed during a Subscription. To switch currency, cancel and subscribe again after the current Billing period ends.

We may end a Subscription for a serious breach of the Terms of Use, after telling you by e-mail and, where the breach can be fixed, giving you at least 7 days to fix it. In that case the unused part of the Billing period is refunded, unless the breach is fraud or unlawful use.

7. Right of withdrawal for consumers

If you are a Consumer, you can withdraw from the contract within 14 days of the day it was concluded, without giving a reason.

  • How: contact Link support, or e-mail [email protected] from your Account address with a clear statement that you withdraw, or use the model form below. Sending it within the 14 days is enough.
  • Refund: the payment is refunded within 14 days of receiving your statement, to the payment method you used, at no charge to you.
  • Pro used during the 14 days: at checkout you ask for Pro to start immediately. If you then withdraw, you pay only for the days Pro was active before you withdrew, in proportion to the price of the Billing period, and the rest is refunded.
  • After the 14 days you can still cancel at any time as described in section 6.

8. Refunds

Outside the cases below, payments are not refunded, including for the unused part of a Billing period after you cancel.

  • Withdrawal by a Consumer within 14 days (section 7).
  • A successful complaint that Pro did not work as described (section 13).
  • Termination by us without breach on your side (section 6), or if we stop offering Pro: the unused part of the Billing period.
  • A duplicate or mistaken charge: refunded in full once confirmed.

Link may also refund a payment within 60 days of the transaction, for example to resolve a payment dispute. Such a refund ends the Billing period it covers. Refunds go to the original payment method; the time until they appear on your statement depends on your bank.

9. Promotional codes and free Pro access

We may give Pro for a set number of days through a personal code, redeemed on the Redeem page of your Account, or grant it directly (for example to partners and testers).

  • No payment method is needed and nothing is charged. When the days run out, the Account returns to the Free plan automatically; there is no renewal.
  • A code can be used once per Account, only until its expiry date and only up to its usage limit. It has no cash value and cannot be exchanged or transferred.
  • A code cannot be redeemed on an Account with an active paid Subscription.
  • Redeeming a code adds its days to any free Pro time you already have.
  • We may cancel a code that was obtained or shared in breach of these Terms.

10. Invoices

For purchases on lmsable.com, Link issues the receipt and invoice and sends it to you by e-mail with a PDF attached; we do not issue a second invoice. Enter the billing details you need on the invoice at checkout. For direct purchases by companies in Poland, we issue a Polish VAT invoice in PLN.

You agree to receive invoices electronically. Invoices are issued in the currency you paid in.

11. What happens when Pro ends

When Pro ends for any reason, your Account returns to the Free plan. Keep your work: ending Pro does not delete courses, lessons, media or branding settings.

  • Courses above the Free limit become archived. You can view, export and delete them, but not edit them. You choose which course stays active; you can change that choice once every 30 days. Returning to Pro makes all courses active again.
  • Pro-only features stop. Exports made after that date follow the Free plan, including the "Made with LMSable" mark and without your own logo or font. Your branding settings are kept and come back with Pro.
  • Existing packages do not change. SCORM packages you downloaded or uploaded to your LMS while on Pro stay as they are.
  • No reset of free benefits. Moving from Pro to Free does not renew free limits, trials, the founding offer or promotional codes.
  • Retention. Ending Pro deletes nothing. If your Account had Pro, courses you never exported are removed only after 12 months with no sign-in or course activity, and we e-mail you 30 days before. Other retention rules are in the Terms of Use.

12. Price changes

We may change the price of Pro. A new price never applies to a Billing period you have already paid for.

  • For an existing Subscription, you are told the new price by e-mail at least 30 days before the renewal it first applies to.
  • If you do not accept it, cancel before that renewal; you will not be charged the new price.
  • Tax changes required by law apply from the date they take effect.

13. Complaints

If Pro does not work as described on the Pricing or Pro features page, e-mail [email protected] or use "Report a problem" in LMSable. We reply within 14 days.

  • Please include your Account e-mail, what does not work and, if you can, the course or export concerned.
  • If the complaint is justified, we fix the problem within a reasonable time. If we cannot, or do not do so in time, you can ask for a proportionate price reduction or, where the problem is not minor, end the contract and get back the price for the period affected.
  • Consumers keep all their statutory rights for digital services that do not conform to the contract. Nothing in these Terms limits them.
  • Generated content (text, quizzes, scenarios) comes from AI models chosen by you. Mistakes in that content are not in themselves a defect of Pro; you review content before use, as the Terms of Use explain.

14. Liability

We are liable under Polish law for performing the contract, subject to the limits below.

  • Business customers: our total liability under the contract is limited to the fees you paid for Pro in the 12 months before the event that caused the damage. We are not liable for lost profits, lost data you did not keep a copy of, or indirect damage.
  • Consumers: these limits do not apply. Your rights under the law of your country of residence stay in full.
  • Always: nothing in these Terms limits liability for damage caused intentionally or by gross negligence, for personal injury, or any other liability that cannot be limited by law.
  • We are not liable for interruptions caused by events outside our reasonable control, including outages of Link or Stripe, our hosting provider or AI services you connect.

15. Governing law and disputes

Polish law governs these Terms and every contract for Pro, subject to Link's terms for the points they govern (section 1).

  • Consumers keep the protection of the mandatory consumer law of their country of residence. You can bring a claim in the courts of your country of residence or in Poland.
  • Out-of-court help for consumers: in Poland, the municipal or district consumer ombudsman (rzecznik konsumentów) and the Trade Inspection (Inspekcja Handlowa); in other EU countries, your national consumer bodies and the European Consumer Centres Network. We are willing to take part in such proceedings.
  • Business customers: disputes go to the common court competent for our registered office in Szczecin, Poland.

We first try to resolve any disagreement by e-mail.

16. Changes to these Terms and contact

We may update these Terms of Sale, for example when the law, our payment process or Pro features change.

  • We tell subscribers about changes by e-mail at least 30 days before they apply to them. Changes needed to comply with the law may apply sooner.
  • A change applies to your Subscription from your next renewal after that notice. If you do not accept it, cancel before that renewal.
  • The version that applied when you paid for a Billing period governs that period.
